AV-rated law firm in Newport Beach seeks a hard-working and organized individual for an immediate full-time position as a Business and Corporate Transactional Paralegal.

Minimum of 5 years full-time law firm experience. Be able to manage time efficiently with minimal supervision. Require a paralegal certificate in good standing and in compliance with CLE requirements. Notary Public is a plus. Competitive salary and benefits offered, including 401K, PTO, Holidays, Health, Dental, Vision and Life Insurance.

Work in office Monday thru Friday.

SKILLS, KNOWLEDGE & ABILITIES:

1. Incorporation of new entities, which includes preparing all incorporation documents.

2. Organizing LLCs and preparing all organizational documents.

3. Experience with corporate and LLC compliance that includes preparation of annual shareholder and director meeting minutes, consents, and/or resolutions.

4. Experience with Secretary of State filings that include corporate filings, LLC filings, UCC filings and related business and corporate filings.

5. Experience with filing in states throughout the US, such as California, Nevada, Wyoming, Delaware and other states.

6. Experience with mergers & acquisition transactions such as due diligence, disclosure schedules, contract review, closings, and related mergers and acquisition tasks.

7. Preparing business and corporate transaction documents such as contracts, leases, buy-sell agreements, operating agreements and related documents.

8. Preparing real estate documents such as grant deeds, quitclaim deeds.

9. Familiarity with AIRCRE forms such as purchase and sale agreements, lease agreements, and related agreements and addendums.

10. Familiarity with e-signature programs such as DocuSign.

11. Experience in tracking and billing time efficiently and accurately is required.

12. Excellent communication skills, both verbal and written.

13. Willingness and ability to learn and perform new tasks.

14. Excellent interpersonal skills, including evidenced ability to work well with people at all levels of the organization, including clients, attorneys, courts and vendors.

15. Strong analytical, drafting and proofreading skills.

16. Attention to detail.

17. Willingness to ask questions and to seek information needed to complete projects and tasks.

18. Evidenced ability to work independently and to work on several projects.

19. Strong organization, time management and project management skills, including ability to adhere to project deadlines, while being flexible as necessary in response to changes and delays in priorities and deadlines.

20. Works well in a team environment.

EDUCATION AND/OR EXPERIENCE:

Minimum of 5 years experience as a business and corporate transactional paralegal.

Paralegal certificate.

Experience with LexisNexis.

Candidate should have excellent computer skills and be proficient in MS Office, Excel, Word, PowerPoint, Adobe.

Experience with Time Matters and Timeslips is a plus.

Notary certificate is a plus.
