Corporate Paralegal in downtown Seattle

Our client, A large multinational law firm located in downtown Seattle is looking to fulfill a direct hire need for a Corporate Paralegal. This position reports in a hybrid basis (three days in-office) to the firms downtown Seattle office location.

Employment type: Direct Hire | M-F | 9am – 6pm PT Three days in-office

Pay Rate: $32.00 - $40.00 / Hour DOE (+ Full Benefits) Flexibility for overtime as needed

This Corporate Paralegal will provide legal support to general corporate maintenance/matters and complex transactions for both private and public clients.

Responsibilities:

Maintain corporate records and assist with compiling and organizing information and documents

Facilitate corporate and securities filings. Including drafting, reviewing, finalizing and submission via federal filings portal

Drafting legal opinions and memorandums via legal research tools and open-source materials

Prepare stock certificates and maintain capitalization tables and option records within internal systems

Coordinate corporate closing and post-closing administrative tasks

Manage, track and e-file client documents with public agencies

Additional administrative or special projects related tasks as arise

Qualifications:

Qualified candidates should possess a bachelors degree with a concentration in Business Administration, Finance/Accounting or a similar field of study (Paralegal certification is a plus). A minimum of one to two years of law firm experience in Corporate & Securities, Private Equity or M&A practice. Proficiency in Microsoft Office with strong abilities in Excel for data-management. Additional experience in Adobe Suite, and familiarity in Equity management software (Carta, Shareworks, Global Shares, etc.). Must possess strong interpersonal skills with clear and effective communication (written & verbal). Including strong attention to detail, organization, and time management. Ability to work well independently and as part of a team in a fast-paced corporate environment. Candidates with a positive and professional attitude are highly desired.
