LLC seeks a Vice Presidentin New York, New YorkWork with clients on a wide range of complex transactions including acquisitions, divestitures, mergers, joint ventures, corporate restructurings, shareholder relations, recapitalizations, demergers, leveraged buyouts and defenses against unsolicited takeover attempts, strategic advisory assignments and executions of public and private capital markets transactions. Provide input and advice to clients, and initiate relationships with senior clients. Proactively generate ideas for clients and exploit trends in industry, product, and competition. Independently identify new revenue opportunities, and help deliver to the Firm. Develop strong internal and external networks and effectively leverage firm resources. Create an efficient workflow, and translate overall direction into clear roles and responsibilities. Proactively attract, develop, and retain top talent.Salary: Expected base pay rates for the role will be between $275000 and $275000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.Requirements:Requires a Master's degree in Finance, Economics, or a related field of study and three (3) years of experience in the position offered or three (3) years as an Associate, Analyst, or a closely related occupation. Alternatively the employer will accept a Bachelor’s degree in Finance, Economics, or a related field of study and five (5) years of experience in the position offered or five (5) years as an Associate, Analyst, or a closely related occupation. Requires three (3) years of experience with: corporate and financial sponsor clients originating, executing M&A and Capital Markets transactions (Equity and Debt), and Credit financing; generating ideas and exploiting trends in industry, products developments, competitive dynamic, and regulatory framework evolution; building a base of industry, product, and geographic experience with a network of clients; leading project teams and overseeing project deliverables; coordinating work streams; presenting strategic and financial analysis to senior executives; evaluating, structuring, and executing strategic alternatives including acquisition and sale of equity vs. assets, Initial Public Offerings (IPO), Carve-outs, Spin-offs, Joint Ventures, Merger of Equals (MoE), Reverse Morris Trusts (RMTs), and Leveraged Buyouts (LBOs); financial instruments including debt, equity, options, warrants, convertible debt, and swaps; analyzing and synthesizing financial and operating information to provide recommendations on key business decisions; building financial models in Microsoft Excel with operating drivers across all financial statements (Balance Sheet, Income Statement, and Cash Flow Statements); valuation analyses including Discounted Cash Flows, public comparables analysis, precedent transaction analysis, Sum of the Parts (SOTP), Merger Consequences analysis (accretion/dilution), WACC analysis, and Leveraged Buyouts (LBO); conducting business, financial, and legal due-diligence; preparing marketing materials; legal documentation including merger agreements, non-disclosure agreements, indemnity agreements, and engagement letters; core IT applications including Microsoft Office, Bloomberg, CapitalIQ, and Refinitiv.
