Corporate & Real Estate Attorney

Cannabis real estate and licensing company looking to hire an experienced corporate and real estate attorney to join its team. Ideal candidate will have 3-7 years of experience in wide ranging corporate, business and real estate matters. Prior experience in a law firm or in-house legal department preferred.

Minimum Qualifications

Strong corporate law experience

Strong transactional experience, with a focus on corporate and real estate transactions.

Strong experience negotiating, reviewing and drafting transactional documents.

Strong experience handling transactions from start to finish.

Experience conducting due diligence including title review, zoning, land use, and other real estate inspection matters.

Handle business and real estate closings.

Corporate, real estate and business law background.

Excellent interpersonal and communication skills.

Must have strong organizational skills and be able to manage files, deadlines and other time sensitive matters.

Must be self-motivated and have the ability to work proactively and independently, troubleshoot, and work well under pressure.

Must be able to identify and solve problems and work well in a collaborative environment.

Proficiency with Microsoft Office.

Juris Doctor (JD) from an accredited law school.

Admitted to practice in Michigan and in good standing.

Preferred Qualifications

Experience/knowledge in cannabis industry.

Experience/knowledge in municipal/regulatory matters.

Experience/knowledge in election law matters.

Experience with finance and secure transactions.

Prior litigation experience/knowledge a plus.

Tax/Accounting knowledge a plus.

Real Estate salesperson or broker license a plus.

Responsibilities

Handle corporate formation, structuring and compliance for special purpose license and real estate holding entities.

Draft corporate documents including operating agreements, subscription agreements, resolutions and other ancillary documents.

Oversee and handle corporate transactions, including mergers and acquisitions, joint ventures, assignment, membership interest and stock purchase agreements.

Provide legal counsel on real estate transactions including acquisitions, dispositions, financing and secure transactions.

Conduct thorough due diligence in support of corporate and real estate transactions, including title review, zoning, land use, environmental, asset and site feasibility and other inspection matters.

Draft, review, and negotiate a wide range of commercial agreements, including purchase agreements, lease agreements, independent contractor agreements, consulting agreements, commission/fee agreements, employment agreements.

Must be able to structure and negotiate complex business and real estate transactions.

Work closely with team of real estate professionals to identify, acquire, develop, market and sell properties.

Provide general counsel on all business, corporate and real estate matters.

Work with team of outside attorneys on various legal matters and coordinate representation.

Standard Office hours: 9 a.m. – 6 p.m. M-F (no remote work).

Compensation

Salary: $150,000.00 - $165,000.00 - DOE

Discretionary Performance Bonus
