Description Description:Our client, an esteemed Denver-based corporation, is seeking an experienced Corporate Paralegal to join their team on a temporary basis. This position plays a vital role within the company's thriving legal department, providing crucial support to their legal team through a variety of corporate and transactional tasks. In this position, you will have the opportunity to leverage your skills and experience with corporate law, document preparation, legal research, and more. Must be located in the Denver Metro.Responsibilities:
Assist in preparing and managing all corporate legal documentation, including contracts, resolutions, and legal agreements.
Maintain meticulous corporate records, ensuring all documents are up-to-date and easily accessible.
Conduct complex legal research and analysis, providing valuable insights to drive decision-making in corporate transactions.
Aid in corporate governance and compliance matters, including managing the annual governance calendar, preparing necessary paperwork for board meetings, and ensuring compliance with local, state, and federal laws.
Liaise with outside counsel and various external parties as necessary.
Assist in due diligence processes related to mergers & acquisitions or other corporate transactions.
Draft, proo, and edit legal documents ensuring precision and conformity to established legal standards.
Track legal expenses to ensure the legal department operates within the allocated budget.
Coordinate and manage projects, meetings, and maintain attorney schedules.
Provide general administrative support to the legal department as necessary, including preparing and filing documents, setting up calls/meetings, etc.
Participate in special projects as assigned and provide support during audits.
Requirements
Requirements:
A BA/BS degree or equivalent paralegal experience.
Minimum 2 years of paralegal experience at a law firm or in-house legal department, with an emphasis on corporate/transactional law.
Proficient in using Microsoft Office programs, online research platforms, and corporate filing/records management systems.
Excellent research and report-writing skills.
Experience with contracts.
Able to thrive in a fast-paced, dynamic environment with a high degree of professionalism and confidentiality.
Strong organizational skills, exceptional attention to detail and ability to manage multiple tasks concurrently.
Denver Metro location is a must.
