Working as part of an international collaborative legal team, the role will primarily provide support to Cat Financial for offering financing solutions to customers and Cat dealers in Canada and the U.S. This opportunity will provide the successful applicant with exposure to a global business leader with a diverse portfolio of businesses and broad mix of products and services.Job Summary:The Corporate Counsel will provide legal support for a broad range of issues and business concerns, including commercial finance, secured transactions, equipment leasing, dispute resolution, regulatory compliance, and general business law matters. This role provides legal expertise on significant legal issues, conducts legal analysis, and provides counsel to business leaders responsible for Cat Financial’s One Team North America business center and other financing operations.What You Will Do:

Significant contract drafting, legal analysis, client counselling and training

Accountability to assess legal, regulatory, and compliance risk; identify and contribute to the resolution of technical legal issues within a broad band of risk exposure with guidance from Cat Financial’s Legal Department management

Evaluation of unique legal problems and issues to develop recommendations for business leaders on acceptable courses of action on complex secured financing/leasing transactions, and intercreditor arrangements

Drafting, maintaining, and enhancing template commercial financing/leasing agreements

Engaging, managing, and coordinating as appropriate with outside legal counsel

Advising on the development and implementation of new financing products and services

Proactively identifying, evaluating, and escalating legal and regulatory risks relating to Cat Financial products and services

Identifying, developing, and implementing opportunities – and supporting existing projects – involving process improvement in the legal workstream

What You Have:

Legal Analysis: Demonstrated success in roles with responsibility for counseling on commercial finance, secured transactions, and equipment leasing; established capability to provide innovative legal solutions to the business

Legal Function: Seasoned in drafting and negotiating complex secured commercial finance/leasing agreements, NDA/confidentiality agreements, and intercreditor arrangements

Effective Communications: Proven customer relationship skills to serve the business by building productive and efficient collaborative partnerships; considered, thoughtful and effective verbal and written communication

Risk Management: Influential communicator, proficiently able to convey legal risk rationally to business personnel

Managing Multiple Priorities : Efficient time management to manage the needs of multiple clients

Resource Management : Effective and proven project management skills

Top Candidate Will Also Have Experience:

Experience in Canadian equipment financing/leasing transactions and collaborating with global colleagues

Experience in municipal/sovereign nation/native band financing transactions

Proficiency in Microsoft’s data ecosystem, including Microsoft Forms, Power BI, SharePoint and other features of its Power Platform

Degree and Experience Requirements:

J.D. from an ABA accredited law school with strong academic credentials

Active Bar admission in any U.S. state with the ability to become licensed in or register to practice as in house counsel in Tennessee

At least 2 years of position appropriate experience gained preferably in a law firm or in-house position while operating under a full law license issued under the laws of the state in which such experience was gained.
