Corporate Paralegal - 2004986DESCRIPTION/RESPONSIBILITIES:

Primary Duties & Responsibilities

Act as sole point of contact for company's subsidiary corporate governance

Manage external service providers and counsel in relation to managing the overall coordination of company's subsidiary corporate governance

Manage and coordinate the submissions and filings for domestic and international subsidiaries

Maintain company's corporate secretarial services and corporate minute books

Manage and oversee maintenance of an entity management database

Manage the submissions and filings for domestic and international subsidiaries

Prepare or assist in drafting the necessary documentation (including board and shareholder resolutions, corporate minutes and resolutions, etc.) related to the approval of the annual accounts, financial statements, appointment of statutory auditors, annual shareholder meetings, and related annual compliance activities

Coordinate global filings with the Finance team and outside auditors

Serves as the Legal and Compliance Department's contact for the Company's affiliate corporate governance compliance process, and supports business requests by coordinating and obtaining internal stakeholder signatures and coordinating and providing notarial services, apostilles and legalized documents.

Preparation and management of power of attorneys and shareholder or other resolutions

Manage company chops and seals worldwide

Manage and coordination of D&O questionnaires; monitoring responses and independently updating Board information binders as required

Utilization of department's project management tools

Assist legal team with special projects as assigned

Assist team members with transactional closings as neededEducation & Experience

Bachelor's degree and minimum of 5 years of related experience working as a corporate paralegal required; or equivalent combination of education and experience

Paralegal certificate required

Previous experience with global corporate entity management required

Corporate in-house experience preferred and must have international experience

Pennsylvania or other state Notary appointment required

Accustomed to working in a cross functional team with internal stakeholders from Legal, Tax, HR and Finance

Experience with CSC entity management database preferred

Experience with project management tool, Smartsheet preferredSkills

Ability to interact with people at all levels in the organization, prioritize and handle numerous competing demands in a high-volume, fast-paced working environment

Strong oral, written and interpersonal skills

Ability to build and maintain relationships internally and externally to support business needs

Investigative mind and strong research skills

Ability to utilize legal technology

Excellent organizational skills

Proven ability to work well in fast paced and deadline driven environment, with the ability to prioritize workload and work independently

Remote with the occasional travel to Warrendale, PA. Must be able to function remotely with minimum local support and supervision. Must have the flexibility to attend meetings out of normal working hours.Physical Requirements
