Ruhrpumpen is looking for a Corporate Counsel to join our legal team. The ideal candidate will have prior experience with contract review, transactional work, and general legal experience. This role will have a have focus on negotiating and reviewing contracts. However, this position will provide legal support to the company worldwide operations in a several areas. Position reports to the Chief Legal Officer. RESPONSIBILITY
Draft, review, negotiate and manage a range of contracts, which may include, but are not limited to, purchase agreements, master services agreements, NDAs, and work orders/statements of work.
Advise on the company’s rights, remedies, duties and obligations in existing agreements.
Identify risks in potential transactions and be able to communicate those risks to appropriate internal decision-makers for discussion and resolution.
Provide legal advise to management on unique issues which arise outside of the usual course of business.
Liaise with multiple departments to gather input across a range of areas of expertise.
Ensure contracts cover terms which are key to Rurhpumpen business interests.
Stay informed on changes to laws and regulations which have an impact.
Oversee outside counsel on matters which we have hired out.
Ensure the company is following best practices of corporate governance.
Maintain corporate records.
EDUCATION
JD degree from an accredited law school and active bar license in at least one state.
EXPERIENCE
Preferable 3-5 years of prior legal experience relevant to this position
Significant experience advising, drafting, reviewing, and negotiating transactional matters.
KNOWLEDGE & SKILLS
Must be able to work and communicate with a diverse workforce spread across various time zones
Ability to think critically and strategically.
Adaptable and able to handle multiple tasks with short turnaround deadlines.
Detail oriented, able to keep large numbers files and records organized
PHYSICAL REQUIREMENTS
Bending, Kneeling, Standing, Sitting. Must be able to lift 25 lb.
TRAVEL
Up to 15%. US Passport preferred.
