We are seeking a Corporate & Securities Attorney to join our legal team, on a per diem basis. The ideal candidate will have expertise in legal drafting of SEC offerings, as well as various contracts and transactional documents. Responsibilities:
- Completing merger and acquisition transactions including roll-ups, forward mergers and reverse mergers both for private and public companies;
- Structuring and provide all legal work necessary for a Registered Offerings;
- Structuring and drafting documents for Private Placements;
- Structuring and Completing Technical Commercial Transactions;
- Fulfilling the Reporting Requirements of the Securities & Exchange Commission (SEC) including the annual Form 10, quarterly Form 10-Q, periodic, annual and special meetings of shareholders; and
- Corporate maintenance including annual and special shareholder meetings, board of director meetings and executive employment agreements.
Requirements:
- Juris Doctor (J.D.) degree from an accredited law school
- Admission to the state bar association where practicing is required
- Proven experience in corporate law and related areas
- Strong proficiency in legal research tools such as Westlaw and Lexis-Nexis
- Excellent written and verbal communication skills
- Ability to work independently and as part of a team
