40 hours a weekThe Director, M&A will be responsible for serving as a key member of Valley's Finance team and ensure the alignment of potential M&A activity with Valley's strategic priorities and financial plan. This position will partner closely with internal and external investment banking partners on all potential M&A opportunities. Responsibilities include but are not limited to:Lead/oversee merger and acquisition (M&A) and strategic partnership initiatives.o Perform confirmatory financial modeling related to potential M&A activities.o Oversee due diligence and reverse due diligence efforts with regards to live transactions.o Evaluate merger agreements and terms and provide oversight of business and financial negotiations.o Oversee development of communication materials with focus on investor messaging.Participate in capital offering efforts including pricing, diligence, and investor messaging.Assist in the identification, analysis and execution of potential acquisition opportunities in accordance with the company's strategic and financial growth objectives.Support corporate divestitures and other strategic investment activity as needed.Provide financial modeling, financial analysis and valuation support for acquisitions, new product development, long-term contracts and other ad-hoc financial projects.Develop and enhance competitive intelligence, customer intelligence, geographic economic data and technology trends.Drive an efficient, effective and comprehensive process for developing financial plans and analysis that links to the strategic objectives.Other Responsibilities:Comply with all regulations pertaining to BSA, USA PATRIOT ACT, and OFAC. Complete annual BSA training. Report suspicions of criminal activity, or any attempt to avoid BSA reporting requirements on the part. customers or employees, to the AML/BSA Compliance Department.
