As Corporate Counsel, you will provide comprehensive legal services, safeguarding the company’s interests while ensuring compliance with applicable laws. This role requires a strategic thinker with exceptional analytical and communication skills, capable of translating complex legal concepts into practical advice.Position Summary:Reporting directly to the Vice President & General Counsel, you will work as part of a small, dedicated legal team. As a subject matter expert, you will collaborate with colleagues across various departments, delivering clear legal guidance and fostering a culture of partnership and trust. This is a unique opportunity to play a pivotal role in the company’s ongoing success, contributing to change and innovation within the industry.Key Responsibilities:

Provide legal services and develop the company’s legal positions in assigned areas of specialization.

Support senior management, internal departments, and subsidiaries with legal advice and information.

Draft, review, and negotiate a wide range of contracts, including those with customers, dealers, distributors, banks, consultants, vendors, equipment leasing companies, real estate leases, and governmental agencies.

Assist with mergers and acquisitions, including due diligence, contract drafting, and post-merger integration.

Develop and implement policies and procedures to ensure legal compliance, including anti-trust and anti-corruption measures.

Review insurance policies and identify potential risks, proposing alternative solutions to mitigate them.

Participate in key customer, dealer, and management functions to ensure alignment with business goals and legal compliance.

Deliver seminars and training on legal and compliance matters to company employees.

Requirements

Qualifications:Required:

Juris Doctorate from an accredited law school and membership in good standing with the New Jersey Bar or eligibility to practice law as in-house counsel in New Jersey.

Minimum of 6 years of experience as corporate counsel or in a law firm counseling businesses and corporations.

Demonstrated success in managing and negotiating a variety of contracts.

Proficiency with iManage or other document management systems.

Strong problem-solving skills with the ability to make sound legal judgments.

Excellent interpersonal and communication skills, with the ability to explain complex legal issues clearly and concisely.

High level of professional ethics and integrity.

Ability to thrive in a fast-paced, dynamic environment.

Preferred:

Experience counseling businesses on legal matters such as acquisitions, agreements, litigation, anti-trust and anti-corruption, intellectual property, real estate, corporate governance, and government and environmental regulations.

Experience with real estate contracts is a plus.
