Your contributions will have a direct impact on the business by supporting the Legal and Corporate Secretary with entity management, governance, compliance, corporate transactions, and complex project management. The team you will be working with is enthusiastic and team-oriented, and values the fast-paced environment of this team.So, what will you be doing as an International Manager - Entity Management?

Manage a broad spectrum of U.S. and international subsidiary matters; formation, dissolution and restructuring of entities, branch offices and representative offices; preparation, review, and upkeep of corporate records; prepare and file corporate documentation, annual returns, beneficial owner registrations, statutory filings, certifications, director change registrations and compliance filings; maintain the corporate entity management database.

Coordinate documentation and execution of global inter-company financing transactions, including loan agreements, distributions and capitalizations, support with documenting and administering the annual repatriation process, maintenance of the corporate inter-company financing transactional database.

Maintain an understanding of multicultural clients and international laws while ensuring global compliance under a US-centric compliance structure.

Liaise with external service providers in different jurisdictions, including legal counsel, to manage and support governance projects.

Prepare and coordinate signatures, legalizations, authentications and apostilles, if needed, for resolutions, agreements, powers of attorney, proxies, and other corporate documents.

Provide support with mergers, acquisition, and disposition activity, including integration or exit of subsidiaries and managing the governance onboarding/offboarding process.

Support domestic governance matters, including preparation of minutes and consents, qualifications, withdrawals, good standing, director/officer changes, and business name filings.

Serve as a key multi-disciplinary contact for internal departments (Legal, Accounting, Finance, Treasury, Risk, Tax), global local teams (controllers, branch managers) and external service providers (legal counsel, tax advisors), fielding and responding to requests for information or assistance with Know Your Customer (KYC) inquiries, intracompany agreements, secretary certificates, proof of good standing and other corporate matters.

To be successful in this role, youll need:

5+ years relevant corporate legal experience, ideally at a law firm or in-house corporate legal department at a multinational business

Experience in international corporate entity governance and exposure to finance and tax a plus

Bachelors degree preferred

Proven ability to work well under pressure with shifting priorities within tight time frames

Strong written and oral communication skills, with demonstrated ability to interact with all levels of management and global partners with professionalism, tact, and diplomacy

Dem nstrated ability to work independently, managing a high volume and complex workload with discernment of when to escalate issues

Strong attention to detail with excellent organizational and prioritization skills

Ability to process highly confidential/sensitive data and maintain discretion

Notary or willingness to become a notary helpful, but not required

Proficient in MS Outlook, Word, and Excel
