About This Role:

As Corporate Counsel, you will occupy a pivotal role within the legal framework of our dynamic organization, reporting directly to the Chief Corporate Counsel at Biogen's headquarters in Cambridge, MA. In this capacity, you will serve as the primary attorney overseeing critical legal domains such as SEC filings, corporate governance, board governance, insider trading, capital market transactions, investor relations, and subsidiary management. The essence of your role encompasses ensuring meticulous compliance with multifaceted securities laws and regulations, aiding in the smooth functioning of our Board of Directors, and bolstering our relationships with investors and the broader capital markets. The value you bring to Biogen will be reflected in your contributions to maintaining our reputation for integrity and transparency in all financial and governance matters. As a key legal figure, you will integrate seamlessly into our corporate structure, upholding legal standards that are inextricably linked to our overall business success.What You’ll Do:Ensure company compliance with federal, state, and foreign securities laws, as well as reporting and disclosure requirements.Prepare and review critical SEC filings, including registration statements and Forms 10-K, 10-Q, 8-K, and proxy statements.Monitor corporate governance trends and developments, ensuring company alignment with regulatory changes and requirements.Manage the preparation of proxy statements, address shareholder proposals, and provide support for shareholder meetings.Furnish legal support for Biogen’s Board of Directors, including the preparation of meeting materials.Advise on insider trading and Section 16 issues, prepare SEC filings, devise 10b5-1 plans, and manage trading policies and procedures.Support capital market transactions, including debt and equity offerings, ensuring effective shareholder communications.Collaborate with investor relations and corporate communications on quarterly earnings and investor presentations to ensure accurate and consistent disclosures.Oversee subsidiary entity governance management, maintaining organizational structure and compliance.
