Job Summary:
We are seeking a strategic and pragmatic General Counsel with deep expertise in commercial transactions, contracts, and logistics operations. The ideal candidate will serve as a trusted advisor to the executive team, managing all legal aspects of commercial and supply chain activities while ensuring compliance, mitigating risk, and supporting the company’s growth and operational goals.
Key Responsibilities:
Commercial Contracting: Draft, review, and negotiate a wide variety of commercial agreements including procurement, transportation, warehousing, third-party logistics (3PL), vendor, distribution, and service agreements.
Logistics & Supply Chain Legal Support: Provide legal advice and risk mitigation strategies related to logistics operations, supply chain management, transportation regulations, import/export compliance, and cross-border transactions.
Strategic Legal Guidance: Partner with senior leadership on business strategy, mergers/acquisitions, partnerships, and major commercial deals.
Regulatory Compliance: Ensure compliance with federal, state, and international laws related to trade, transportation (e.g., FMCSA, DOT), customs, and logistics.
Risk Management: Identify legal and operational risks in logistics and commercial operations; develop practical solutions to support business objectives while minimizing exposure.
Contract Lifecycle Oversight: Develop, standardize, and manage contract templates and processes to support efficient operations across logistics, procurement, and sales.
Dispute Resolution: Manage or oversee legal disputes with logistics providers, vendors, customers, or partners.
Corporate & Governance Support: Advise on legal entity management, governance issues, and internal policy development.
Training & Development: Educate business units on legal best practices related to contracts, logistics, and compliance.
Qualifications:
Juris Doctor (JD) from an accredited law school; active bar membership in good standing.
Minimum 7–10 years of legal experience, with a strong emphasis on commercial transactions and logistics-related legal issues.
Proven experience negotiating and managing logistics, transportation, and supply chain contracts.
Solid understanding of regulatory frameworks governing domestic and international logistics.
Strong commercial acumen with the ability to align legal strategy with business goals.
Excellent interpersonal, communication, and problem-solving skills.
Ability to work autonomously in a fast-paced, evolving business environment.
Preferred Qualifications:
In-house counsel experience within logistics, transportation, supply chain, or distribution-heavy industries.
Familiarity with Incoterms, UCC, customs regulations, and cross-border freight legalities.
