We are a boutique business law firm seeking an experienced paralegal or attorney to assist with ongoing mergers and acquisitions (M&A) transactions on an hourly, contract basis. This is a flexible, remote position ideal for someone who has handled deal work and can jump into active transactions.
Typical duties include:
Drafting and reviewing asset purchase agreements, membership interest transfers, NDAs, and other deal documents
Managing due diligence checklists and organizing supporting documents
Preparing and filing corporate records (consents, amendments, closings)
Communicating with clients, sellers, and other professionals
Supporting closings, escrow holdbacks, and post-closing matters
Requirements:
Minimum 3 years of experience in M&A, corporate law, or transactional work
Licensed attorney or experienced corporate paralegal
Strong drafting, organizational, and communication skills
Familiarity with Florida or Illinois business law a plus
Ability to work independently and meet deadlines

Hourly contract position (rate based on experience)
