Job Description SummaryThe Assistant General Counsel, Mutual Funds will consult and provide legal advice to the organization on complex legal issues. Provide guidance within assigned practice area(s) to in-house constituents. In particular, advise senior management and key business group clients on legal issues arising out of the ongoing operations of the Transamerica Funds Complex, Transamerica Asset Management (TAM), and related service providers and help ensure these activities are conducted in compliance with all applicable laws and regulations. Analyze issues and provide guidance to ensure compliance with all applicable rules and regulations affecting these entities, including the Investment Company Act of 1940, the Investment Advisers Act of 1940 and the Securities Act of 1933.Job Description Responsibilities

Work on complex legal issues where analysis requires identification and evaluation of multiple factors.

Manage legal matters provided to a number of in-house constituents within practice area(s).

Advise business on issues impacting significant functional areas of the company.

Negotiate discrete disputes within practice area(s).

Review and draft documents and templates within practice area(s).

Coordinate legal matters handled by outside counsel.

Participate in and may lead departmental and cross-functional working groups in identified areas of legal expertise or development.

Examples of responsibilities within specific practice areas:

Work effectively with business groups, cross-functional teams and fund service providers in the development and management of investment companies (mutual funds and ETFs), collective investment trusts and other advisory services offered by TAM;

Prepare and review board materials and minutes for the Transamerica Funds Complex;

Prepare and review registration statements, periodic reports, proxy statements and other related filings. Handle other disclosure related matters, as assigned;

Negotiate and review contracts and agreements, including investment advisory agreements, sub-advisory agreements, expense limitation agreements, transfer agent agreements, underwriting agreements and third-party service provider agreements; and

Closely coordinate with compliance team in drafting and reviewing comprehensive compliance policies and procedures for the Transamerica Funds, TAM and related service providers.

Qualifications

JD from an ABA accredited law school

A minimum of 8 years of relevant legal experience

Licensed or eligible to practice in the applicable state

Ability to effectively communicate, both written and oral, with the intended audience

Ability to exercise sound judgment in a fast paced environment

Excellent interpersonal and communication skills, including an ability to work with all levels of staff in a professional manner.

Ability to exercise agility and adaptability in providing legal advice

Comfortable in a rapidly changing corporate environment

Preferred Qualifications

Must have in-depth knowledge of the Investment Company Act of 1940, Investment Advisers Act of 1940, the Securities Act of 1933 and the Securities Exchange Act of 1934, and their related rules and regulations.

Ability to influence strategic direction, complete complex assignments and provide comprehensive solutions to complex problems.

Excellent analytical, drafting, problem solving and organizational skills; Ability to handle competing demands and priorities.

Membership in a state bar in good standing

Proficient using MS Office

Compensation

Please note that the compensation information that follows is a good faith estimate for this position only and is provided pursuant to applicable pay transparency and compensation posting laws. It is estimated based on what a successful candidate might be paid in certain Company locations.

The Salary for this position generally ranges between $163,000 - $200,000 annually. This range is an estimate, based on potential qualifications and operational needs. Salary may vary above and below the stated amounts, as permitted by applicable law.

Additionally, this position is typically eligible for an Annual Bonus based on the Company Bonus Plan/Individual Performance and is at the Company’s discretion.
