Description Contract to hire Senior Corporate Paralegal need in San Ramon, CA! As a crucial team member within the corporate department, the Senior Corporate Paralegal will play a pivotal role in supporting initiatives related to the Board of Directors, SEC, and Nasdaq compliance, corporate governance, and international entity management. This role involves continuous contributions to corporate governance, entity management, SEC filings, and equity administration, impacting various areas of the business through participation in cross-functional projects. The ideal candidate will actively contribute to process enhancements, operational streamlining, and provide legal support to departments such as treasury and finance. This is a long-term temporary/contract opportunity, requiring candidates to report on-site in San Ramon, CA on a hybrid basis.Primary Responsibilities:

Facilitate compliance with securities laws and contribute to the preparation of diverse SEC filings, including but not limited to 10-Ks, 10-Qs, 8-Ks, Section 16 reports, proxy statements, and other required submissions.

Coordinate the preparation and distribution of annual Director and Officer Questionnaires and related proxy items.

Support the annual stockholder meeting process.

Assist in administering the company’s insider trading policy.

Contribute to the preparation of materials for Board meetings and maintain corporate records and minute books.

Oversee subsidiary management and corporate governance globally, maintaining compliance calendars and ensuring timely filings.

Act as the primary contact for all corporate governance matters related to domestic and foreign subsidiaries, collaborating with external service providers and law firms.

Provide assistance for intercompany financial transactions, subsidiary formations, reorganizations, and dissolutions.

Play a key role in the quarterly certification process.

Manage compliance with US and international laws pertaining to equity incentive plans.

Support general corporate matters and engage in special projects or tasks as required.

Requirements

Qualifications:

At least 7 years of experience within a global public company as a paralegal, with a focus on securities law compliance, SEC filings, and corporate governance.

Proven expertise in corporate subsidiary governance matters.

Strong understanding of securities laws and regulations.

Familiarity with SEC filings, including 10-Ks, 10-Q’s, 8-Ks, Section 16 reports, proxy statements, and other related filings.

Experience in providing support for corporate governance matters.

Ability to prepare materials for Board meetings and manage corporate records and minute books.

Demonstrated expertise in managing subsidiary management and corporate governance for multinational companies.

Experience maintaining corporate and compliance calendars and ensuring timely filings.

Experience dealing with corporate governance matters for both domestic and foreign subsidiaries.

Ability to liaise effectively with outside service providers and law firms on international corporate governance issues.

Proven ability to drive process improvements and streamline operations.

Experience in handling special projects impacting various areas of the business.

Current notary public certificate (preferred).

Law firm experience desirable.

High proficiency in MS Office applications (e.g., Word, Excel, PowerPoint), Workiva and Diligent

Education:

Bachelor’s degree.

Paralegal Certificate.
