Need a qualified person (who may, or may not, actuallybe an attorney) to help us create our Cap Table (similarto thecap table examples on Carta).
This is not a cookie-cutter process. We need someone to help us clarify our unique needs and objectives, which are not straightforward, or even determined entirely, at this point. (And, in fact, one particular challenging aspect requires serious strategizing and creative thinking.)
We are a scalable Network Effects Platform (not an SaaS, Fintech, Edutech or Healthcare startup). Our MVP is 90% finished and various discussions and agreements (as to equity, etc.) havebeen discussed duringthe long development process, butnothinghas been finalized or made legal.
We are especially interested in young people - such as those just starting their careers or serious Law Students - if they're passionate aboutthe Tech StartupIndustryas a whole, and if they have a natural knack for Finance incorporating, issuing shares, stock option plans, SAFEs, VC financing. There is a great deal to learn and contribute.
Additional note: I have a wonderful attorney, yet I like to do my "homework" and take things as far as I can before going to him. He's generous with his advice, but I must pay (a high hourly) when he actually prepares documents and does official legal work (which is only fair!). For these reasons, I'm looking for an "in house" type of legal/financial person to work with me to take things as far as we can before I actually present them to my attorney.
