In this position you will be drafting resolutions and formatting Board minutes and will also be responsible for corporate entity upkeep such as drafting minutes, bylaws and corporate filings for the various Banner entities. As required, collaborates with outside defense counsel in coordinating witness interviews, provider responses to regulatory and licensing boards, depositions and/or court appearances. This position procures and reviews required files and documents. May attend non-Banner litigation depositions as requested. Perform all duties ensuring compliance with company policies and procedures; applicable state/federal rules and regulations.CORE FUNCTIONS

Facilitates the acceptance, review and responses for board and fact witness matters including, but not limited to, subpoenas, summons and complaints and state board requests. Reviews documentation received and coordinates review of information needed. Oversees fact witness matter management by either working directly with fact witnesses to prepare for deposition or retaining and working directly with outside counsel and managing this responsibility. Facilitates the court, deposition and witness interview appearance requirements. Handles medical regulatory board complaints. Meets court-imposed deadlines and complies with applicable state and federal rules and regulations, including but not limited to, state agency subpoenas, civil subpoenas and criminal subpoenas. Research and review court venue docket in state and/or federal court as required.

Maintains extensive familiarity with documents and issues involving claims, litigation and medical malpractice non-litigation matters in order to provide input in meetings with outside defense counsel, to include procurement of and provide the responsive document file, pertinent and related medical records, and billing statements, and other pertinent and related documentation. When requested will compile comprehensive list of any and all individuals providing healthcare services to claimants and/or plaintiffs, while identifying whether said individuals are current/former employees or non-employed. Provide list to outside defense counsel for disclosure in either pre-litigation or fact witness non-litigation process, to include reviewing and electronically copying medical records, identifying medical services provided to claimants, and performing other support services for the Legal Department as requested.

Maintains pre-litigation and fact witness non-litigation calendar, to include subpoena due dates; deposition dates, and appearance dates, as required. Maintain library of archived and active policies and procedures, Medical Staff Bylaws and Rules and Regulations, employee rosters, curriculum vitae of consultants/experts, and releases. Maintain files on claims, pre-litigation or fact witness non-litigation, board complaints and requests, ensuring the maintenance of an efficient, organized, document-intensive case file. Provides information to other members of the Legal Department about whether specific parties and/or entities have system contracts; secures copies of applicable contracts, employment status of personnel and curriculum vitae of experts.

Will maintain an active Notary Public commission.

Will open, enter file and file documents into Legal Department database when requested. Procures and prepares documents for nonlitigation issues, including but not limited to professional board reporting.

Extensive interaction with all levels of senior management, physicians, CEO’s, internal management, other company personnel, attorneys, insurance companies and business personnel, with respect to fact witness non-litigation, board requests and complaints, subpoenas, and discovery process.

MINIMUM QUALIFICATIONSMust possess a strong knowledge of business and or law as normally obtained through the completion of a bachelor’s degree.Must demonstrate legal assistant knowledge and background as normally obtained through the completion of a legal assistant certification from an American Board Associate (ABA) accredited school or Certified Legal Assistant/Certified Paralegal (CLA/CP) certification from the National Association of Legal Assistants.Must possess a strong knowledge and understanding of litigation as normally demonstrated through five or more years of experience as a paralegal/legal assistant in a law firm handling medical malpractice or similarly complex litigation. Requires ability to interpret internal policies and procedures, medical information, and complex state and federal rules and regulations and summarize such information in written form. Must be able to prioritize multiple projects, coordinate large volumes of data, track and meet court-imposed deadlines, with limited supervision. Maintains strict confidentiality.
