The Legal Department is focused on attracting, retaining, and developing great people in an inclusive environment where each person is valued for the distinct skills and attributes they bring to the team. Partners with business units and executive leadership to provide practical legal advice on issues related to complex business and banking matters

Provides strategic, pragmatic, and expert legal advice to business units

Advises senior management as to the interpretation of laws and regulations and on new and recent changes in laws and regulations that affect the Bank

Monitors and remains up to date on emerging legislative developments that may affect the Bank

Participates in line of business-initiated projects such as drafting policies and procedures on new regulations and amendments or new interpretations of existing regulations

Provides expert assessment of legal risk when business decisions are made, demonstrating particular consideration for the Bank’s reputation as well as our clients and assets

Works with and manages outside counsel on legal issues impacting the Bank and related matter budgets

May lead and manage other Assistant General Counsel, specialists or paralegal staff

Provides assistance with training bankers, associates, operational staff and customer support staff on legal issues

Provides expert legal counsel on a wide range of legal issues and works on complex issues where analysis of situations or data requires an in-depth evaluation of variable factors.

Proactively and consistently develops relationships based on trust across the organization; grows internal and external networks

Ability to work in a collaborative environment with multiple stakeholders to include senior and executive management

Has distinct, independent ownership of a legal function or specialization

Provides mentoring opportunities for legal staff and serves as a resource for legal staff

This position is exempt from timekeeping requirements under the Fair Labor Standards Act and is not eligible for overtime pay.This position is incentive eligible.Requirements

Law Degree

Licensed in good standing to practice law in at least one jurisdiction

Ten (10) years of legal experience at a regulatory agency, in the financial services industry, or at a law firm with strong knowledge of bank regulations or other relevant practical legal experience

Ability to lead and manage a team of attorneys and support staff which provides legal support to an entire line of business

Possesses unique legal expertise in multiple specialized areas of the law

Draft and negotiate a variety of financing and corporate documents, including loan agreements, lease agreements, vendor program agreements, portfolio purchase and sale agreements and non-disclosure agreements.

Assist with the preparation and review of business unit policies and procedures.

Assist with litigation, regulatory matters and special projects as needed.

Additional Preferences

Extensive experience drafting, reviewing and negotiating documentation related to equipment finance transactions, including loan agreements, operating and finance leases, and vendor program agreements; experience in the small/mid-ticket commercial financing industry preferred.

Deep knowledge of the UCC (specifically Articles 9 and 2A).

Experience with capital markets transactions involving commercial loan and lease portfolios (e.g., portfolio sale and purchase transactions, structured warehouse facilities and/or term securitizations).

Familiarity with the laws and regulations applicable to commercial lending and leasing (e.g., CFPB Rule 1071, state commercial lending disclosure laws).

Ability to manage and prioritize multiple time-sensitive transactions and projects for a number of different internal stakeholders.

Ability to build trust and strong working relationships with business leaders, as well as colleagues throughout the organization.

Ability to protect the company while facilitating the transaction through the identification of risks and the application of “outside the box” thinking to mitigate those risks.

This position is intended to be onsite, now or in the near future. Associates will have regular work hours, including full days in the office three or more days a week. The manager will set the work schedule for this position, including in-office expectations. Regions will not provide relocation assistance for this position, and relocation would be at your expense.Position TypeFull timeCompensation DetailsPay ranges are job specific and are provided as a point-of-market reference for compensation decisions. Other factors which directly impact pay for individual associates include: experience, skills, knowledge, contribution, job location and, most importantly, performance in the job role. As these factors vary by individuals, pay will also vary among individual associates within the same job.The target information listed below is based on the Metropolitan Statistical Area Market Range for where the position is located and level of the position.Job Range Target:Minimum:$159,950.56 USDMedian:$235,841.70 USDIncentive Pay Plans:This role is eligible to participate in the annual discretionary incentive plan.
