Kell, Alterman & Runstein, L.L.P. is a mid-sized downtown law firm looking to fill an entry-level position for individuals who are interested in corporate law and working in a fast-paced setting in our corporate/business law department.

The Corporate Legal Assistant works with and assists paralegals within the department and reports to the Supervising Paralegal while occasionally interfaces with attorneys and staff from external departments. The primary responsibilities and duties of the Corporate Legal Assistant are provided as follows:

Annual Reports

File Annual Reports and other renewals for business entities in domestic and foreign jurisdictions.

File amendments to Annual Reports updating corporate information with the State

Prepare questionnaires and correspond with clients

Prepare consent minutes with resolutions for actions

Create and maintain client minute books

Enter, maintain and update information in the firm’s corporate entity database

Audit client business and estate plans to insure consistency and accuracy of ownership

Additional Responsibilities

Track and enter billable time into accounting software

Perform other clerical and administrative duties as requested by the Supervising Paralegal and attorneys.

Skills & Qualifications

Strong organizational skills to process voluminous Annual Reports/renewals

Attention to detail to produce error-free legal documents and meet all filing deadlines

Computer skills to use information retrieval, document management, appointment, word processing, spreadsheet and database software, such as NetDocs, Outlook, Microsoft Suite

Oral communication and interpersonal skills to interact positively with clients, attorneys and co-workers

Written communication skills to edit and proofread documents

Basic understanding of legal terminology
