Growing together.UnitedHealth Group (www.unitedhealthgroup.com), a Fortune 6 company and leading health care organization, is currently looking for a transactional and corporate governance attorney to join its Subsidiary Governance legal team, with a primary focus on supporting the needs of our health services businesses. The successful candidate will have 3+ years of relevant experience, preferably with some in-house experience.You’ll enjoy the flexibility to work remotely from anywhere within the U.S. as you take on some tough challenges.Primary Responsibilities:
Provide corporate governance and general transactional legal support for numerous subsidiary legal entities operating in a wide variety of health services disciplines
Primary responsibilities will include Board and Shareholder actions, Director and officer replacements, and internal mergers and restructurings
Collaborate closely with the senior attorney and the paralegals supporting these businesses to accomplish the required corporate governance activities and meet the needs of the business
Collaborate closely with business leaders and their attorneys to manage day-to-day corporate governance for these entities
Assist with developing and implementing applicable templates and various related process improvements
Provide advice regarding the application of and compliance with numerous applicable regulatory structures, including those governing pharmacy and medical services
Draft and review documents related to all applicable transactional and governance responsibilities, such as Board of Director and shareholder actions, Share Transfer and Contribution Agreements
Reports to the Deputy General Counsel, Subsidiary Governance in the Corporate Legal Department

JD with a minimum of 3 years of combined general corporate, regulatory or transactional experience with a law firm, accounting firm and/or corporate law department
Preferred Qualifications:
Prior in-house corporate legal experience

Residents Only: The salary range for this role is $122,100 to $234,700 annually. Pay is based on several factors including but not limited to local labor markets, education, work experience, certifications, etc. UnitedHealth Group complies with al minimum wage laws as applicable.
