Responsible for oversight of Transfer Agent to handle stock transfers and dividends, and acts as dividend disbursing agent for subsidiary companies. Assists in the daily administration of the Company’s Long-Term Incentive Plan. Responsible for equity grants, option exercises, RSU and PSU earnouts, and cancellations/forfeitures, and reconciles with shares outstanding. Assists with director benefit plans as needed. Works with other departments and teams to deliver excellent results and customer service in all matters. Ensures compliance with governmental and quasi-governmental reporting agencies.Principal Duties: Responsible for the oversight of our transfer agent (Equiniti/EQ) who is responsible for shareholder recordkeeping activities of Norfolk Southern and various subsidiaries. Acts as dividend disbursing agent and transfer agent for subsidiary companies. Fields calls from shareholders regarding registered shares, transfers, and lost/found certificates. Administers the Company’s equity plans for all eligible employees Provides a superior level of customer service to shareholders and equity plan participants Assists with training and education of the LTIP to support employee and participant understanding of equity awards and agreements Performs monthly, quarterly, and annual reconciliation of equity awards and related stock transactions, preparing custom reports to assist with these tasks Monitors SEC Section 16 transactions and files appropriate reports (Forms 3, 4, 5, and 144, as necessary) with the SEC Prepares equity compensation tables of the Proxy Statement Interacts with all levels of executive management, support staff, shareholders, board members, and others, with the strictest confidence, professionalism, and respect. Trains personnel in the use of equity award system and functions as system administrator Responsible for compliance with regulations of Security Exchange Commission, Financial Industry Regulatory Authority, New York Stock Exchange, State Escheatment Laws and with controls set forth in the Norfolk Southern Compendium of Internal Accounting. Plans, develops procedures, and arranges for mergers, stock splits, redemptions, calls, buybacks, annual meeting of shareholders, special shareholder meetings, and any other stock activity directed by management. Responsible for responding to all shareholder inquiries. Assists the Assistant Corporate Secretary in the coordination and administration of certain Board and Director matters related to payments and benefits.
