Today, we continue to lead because we have a world-class, diverse workforce that puts the customer at the center of everything we do.About this role:Reporting directly to the Company’s Senior Director, Corporate Counsel, the Associate Director, Corporate Counsel serves as a legal counsel with respect to securities, corporate finance (including treasury support) and other general corporate matters. The role also provides legal and corporate secretarial support with regard to management of the Company’s Board of Directors and Committees.This is a highly visible role in a fast-paced, professional and collaborative organization. The ideal candidate will have excellent client management skills, be comfortable interacting regularly with executive management, taking initiative and working across the Company to achieve results and advance the Company’s strategic priorities. A commitment to excellence, attention to detail and enthusiasm for flexing to new challenges are critical to success in the role.Key Responsibilities:Securities Responsibilities:

Provide legal support and advice on public disclosure and similar matters

Review investor communications, including quarterly earnings materials

Support the drafting and review all ’34 Act filings, including registration statements, periodic and current reports

Support the drafting and filing process for the annual Proxy Statement

Coordinate a broad range of executive compensation and equity administration matters, including Section 16 filings and insider trading policies

Identify, analyze and report on legal and market practice developments impacting disclosure, governance and executive compensation matters

Corporate Finance & Other Transactional Responsibilities:

Support all corporate finance activity, including public and private securities offerings (both debt and equity), liability management transactions and bank financings

Support senior management on interpretation of financing documents

With others in the legal department, provide legal support for mergers, acquisitions and related financings

Corporate Governance Matters and other Corporate Matters:

Assist with the preparation, review and distribution of Board / Committee agendas and meeting materials

Support the review and drafting of company policies and processes

Review press releases and other external communications

Required Qualifications:

Bachelor's Degree

Juris Doctorate from an accredited US law school

Current admission to at least one U.S. state bar

2+ years of general corporate experience with large public companies

Preferred Qualifications:

Strong drafting and communication skills

Experience with securities, public company governance, capital markets, and corporate finance
