Description Investment Advisory AttorneyOur client, a leading global financial institution is looking for a Corporate Counsel/ In-house investment fund attorney for their legal investment advisory group. The Investment Counsel will focus on evergreen private equity products (including registered investment companies). The Counsel will regularly interact with the firm’s client relationship management, investment, and operations teams as well as with clients, external professionals and regulators. Representative projects include, for example, the design, formation, and negotiation of fund vehicles suitable for the inclusion of private equity in private wealth channels, and defined contribution pension plans. Experience with Investment Company Act of 1940, ERISA, etc. is highly preferred for this position. The Investment Counsel will efficiently manage complex structuring projects from a legal, regulatory, operational, and project management aspect, with an emphasize on US private wealth offerings.Responsibilities will include; Draft and/or review documentation relating to a variety of fund structures, Ownership for select funds, including maintenance and related processes and procedures, Research legal and regulatory considerations relevant to specific clients, products and jurisdictions Instruct and manage external legal advisors and other service providers. Qualified attorneys should have 3+ years of relevant work experience at a top law firm, bank or asset manager, whereby direct private markets fund formation and/or investment exposure is key. Direct working experience with registered funds, evergreen funds, distribution arrangements, insurance dedicated funds, securitized vehicles and other innovative structures is preferred. Regulatory & compliance knowledge in relation to investment funds, particularly US registered investment companies and/or private evergreens is highly preferred to be successful in this position. Qualified Attorneys should have 3 plus years of corporate/Private Equity/Fund Management experience. JD and license to practice law in a US jurisdiction is required for this position.
