The Associate General Counsel (AGC) is responsible for legal support to Commonwealth Care Alliance’s various business units in support of the Company’s strategic and tactical legal initiatives. Work will include drafting and negotiating health care provider contracts, joint venture agreements, and partnership agreements, and reviewing and negotiating proposals, letters of intent, term sheets and provider and vendor agreements. The AGC will work with various internal departments and committees to assure operational and procedural compliance with state and federal regulations including, Medicare and Medicaid marketing rules, privacy and security, HIPAA, fraud, waste and abuse, healthcare reform, and related topics. The AGC will also provide advice and counsel to regional clinical leadership on legal and regulatory matters relating to CCA’s status as a government contractor and integrated health care services delivery organization.Advanced:To perform job functions, the AGC must have: Ability to identify risks and propose alternative structures to mitigate risks Excellent analytical research and documentation writing skills as demonstrated by past draft examples Exposure to and/or familiarity with the following areas of law: health law, contracts, state and federal regulatory compliance Expertise in health care regulatory environments, health care operations and compliance challenges in the health care/managed care industry Ability to communicate effectively with a variety of contacts, including outside attorneys and regulators, senior management, and business associates; Ability to manage and resolve complex legal and regulatory matters and to clearly and effectively communicate these matters to others internally and externally as needed Ability to play a leadership role in the organization and influence key internal and external decision makers on policy issues Ability to work independently and to effectively manage a large workload Ability to build and maintain positive working relationships with regulators and both external and internal stakeholders of the organizationSecondary Responsibilities: Provide supervision to assistant general counsel roles in the legal department Provide due diligence on potential partners Responsible for closing complex transactions, including contracts with providers and vendors Provide continuing counsel and guidance on legal matters and on legal implications of business matters Collaborate with senior leadership to review and analyze corrective action plans to ensure compliance with new or existing laws and regulations requirements Build and maintain positive working relationships with regulators Consult and coordinate with new business/sales/product development to determine regulatory requirements for products being offered in the marketplace Prepare summaries of analysis on health care reform, state and federal government programs related to Medicare and Medicaid that include relevant legislative history Assist government affairs’ efforts with proposed legislation and policy positionsMin Education Required: Law Degree or equivalent doctoral degreePreferred Educational Experience: Juris Doctor and admission to the Massachusetts BarMinimum Years Experience Required: over 10 years At least 10 years in a business environment, with preference given to health plan or payor experience, in counsel capacity or comparable law firm experience; experience working directly in healthcare/managed care environments Must possess and demonstrate the highest level of personal integrity and professional judgment, and must be able to work in a collaborative, collegial and respectful manner. Position requires extensive, self-initiated client contact and an ability to provide both senior management and operating personnel with sound and practical legal advice. The ability to handle successfully complex and multiple legal projects. The ability to consistently meet deadlines. Excellent interpersonal and writing skills, experience in drafting and negotiating agreements, strong problem solving capabilities, and a clear understanding of the lawyer's role as a legal and business advisor. A thorough understanding of one or more relevant areas of law applicable to the business including, without limitation, corporate and transactional law, contracts, healthcare operational and regulatory law.
