Shift: Full time, Days, Weekend as neededReporting to the Executive Vice President/Chief Legal Officer (“CLO”) the Associate General Counsel (“AGC”) is responsible for implementing, supporting and managing organization wide contractual agreements and related programs, providing general transactional and regulatory advice, resolving disputes on behalf of NCH with third parties and assisting with legal program planning. Working closely with CLO, Compliance Officer as well as NCH leadership and management, monitors compliance with law.

Offers counsel and advises on a variety of legal issues within the company and works alongside Strategic Business Units, as identified and defined by the CLO. Advises executives on contract status, legal risks, and provides explanations of legal language and business terms of various deals. Utilizes electronic contract management system to ensure efficient tracking of pending transactional matters.

Researches unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes, making appropriate recommendations, and develops solutions to complex legal questions.

Negotiates, drafts, and reviews agreements on behalf of organization’s leaders as to ensure legal and strategic objectives are met. Reviews and catalogs a variety of departmental, hospital and system-wide policies, procedures and programs for potential legal problems. Recommend changes to same as necessary.

Provide assistance with various business projects and strategic projects.

Collaborates with the CLO and Deputy Litigation Counsel to develop periodic enterprise risk assessments, analysis and reporting. Co-chairs Enterprise Risk Steering Committee with the Deputy Litigation Counsel.

Assists with strategic planning for the legal department including rounding, education, creating scorecards and conducting benchmarking for best practices. Provides training to NCH and its affiliates on substantive legal topics. Oversees and manages Paralegal and, in conjunction with Deputy Litigation Counsel, the Administrative Assistant. Regularly evaluates the performance of personnel according to the guidelines of the hospital’s performance management system. Ensures team members are oriented to the department and hospital. Allocates time for educational meetings; collaborates with others responsible for organizational wide education to ensure learning needs are identified and addressed. Maintains an environment which promotes individual and professional growth.

Maintains knowledge of current trends and developments in the field and in legislative changes that may affect NCH and its affiliates in order to enhance professional expertise and support provided.

Reviews advertising and marketing materials to ensure compliance with legal requirements.

Assists with policy review and revision to ensure legal compliance.

Adheres to all Northwest Community Hospital standards, policies, procedures.

Juris Doctorate (JD) law degree from an ABA accredited law school required.

Current licensure by the Illinois Supreme Court and admitted to the State Bar of Illinois.

Minimum of 5 years’ experience developing contracts and resolving legal issues in a hospital or health care environment.

Working knowledge of State and Federal laws, statues and codes related to contracts, mergers and acquisitions, partnerships deals, legal agreements and risk assessment.

Demonstrated experience in drafting and negotiating physician and other health care provider agreements, vendor agreements, reviewing and analyzing regulatory compliance issues in connection with such arrangements under federal and state law, and preparing regulatory definitive agreements, filings and documents in connection with complex health care transactions preferred.

Extensive knowledge and understanding of legal practices and procedures in hospital or health care systems operations and strong analytical skills to research and resolve legal matters.

Effective public speaking skills to articulate complex legal and contract information in understandable layman's terms.

Advanced interpersonal skills to interact with and counsel executive leadership, department heads, medical staff, and or external vendors and to persuasively initiate corrective action as appropriate.

Good organizational and planning skills as well as the ability to handle multiple tasks simultaneously.

Strong writing skills to draft, edit and execute legal agreements and contracts.
